FIRST CLAUSE – PARTICIPANTS / PRIMERA CLAUSULA – PARTICIPANTES

1.1 The company GALAPAGOS BLUE SKY legally represented by Mrs. Kenia Correa, from here on and for the effect of this contract will be called the “AGENCY.

La empresa GALAPAGOS BLUE SKY, representada legalmente por el Sra. Kenia Correa, en adelante y para efectos del presente contrato, se denominará la “AGENCIA”.

1.2 The person contracting the services of THE AGENCY from here on will be called the “TOURIST”. 
La persona que contrate los servicios de LA AGENCIA en adelante se denominará el “TURISTA”.

1.3 The third-party company who operates the contracted tours from here on will be called the “OPERATOR”.
La empresa externa que opere los tours contratados en adelante se denominará el “OPERADOR”.

SECOND CLAUSE – OBJECTIVE OF THE CONTRACT / CLAUSULA SEGUNDA – OBJETIVO DEL CONTRATO

THE TOURIST contracts the AGENCY to provide the necessary reservations with tourism OPERATORS in order to travel and participate in the activities at the destinations chosen by the TOURIST.

EL TURISTA contrata a la AGENCIA para realizar las reservaciones necesarias con los OPERADORES turísticos para poder viajar y participar en las actividades en los destinos elegidos por el TURISTA.

THIRD CLAUSE – OBLIGATIONS OF THE PARTIES / CLAUSULA TERCERA – OBLIGACIONES DE LAS PARTES

THE AGENCY: / LA AGENCIA:

3.1 To provide the best TOURS and SERVICE in the market relative to the established price. ALL YACHTS INVOLVED must be legally established and authorized to operate in agreement with Ecuadorian law.
Ofrecer los mejores TOURS y SERVICIOS del mercado en relación con el precio establecido. Todos los yates participantes deben estar legalmente establecidos y autorizados para operar de acuerdo con la legislación ecuatoriana.

3.2 To provide all of the necessary information that the tourist will require about his/her contracted travel destination / tour.
Proporcionar toda la información necesaria que el turista requiera sobre su destino de viaje/tour contratado.

3.3 To provide THE TOURIST with all details and vouchers required for participation on the tour.
Proporcionar a EL TURISTA todos los detalles y vouchers necesarios para participar en el tour.

3.4 To contact the family, insurance company and / or embassy of the TOURIST in case of accident caused by acts of providence or force majeure. The AGENCY is not responsible for injuries, death, or any other damage caused under any circumstances by the TOURIST.

Contactar a la familia, compañía de seguros o embajada del TURISTA en caso de accidente causado por fuerza mayor, La AGENCIA no se responsabiliza por lesiones, fallecimiento ni ningún otro daño causado por el TURISTA.

THE TOURIST: / EL TURISTA

3.5 To have clearly understood and accepted the risks that exist in the practice of extreme sports including but not restricted to mountain biking, trekking, snorkelling, diving and any other activity or sport where there is contact with nature. The TOURIST accepts that the AGENCY will not be held responsible for loss, injury or damage to person or property for any of the above causes.

Haber comprendido y aceptado claramente los riesgos que conlleva la práctica de deportes extremos, incluyendo, entre otros, ciclismo de montaña, senderismo, snorkel, buceo y cualquier otra actividad o deporte que implique contacto con la naturaleza. El TURISTA acepta que la AGENCIA no será responsable de pérdidas, lesiones o daños a personas o bienes por cualquiera de las causas mencionadas.

3.6 To hold valid and comprehensive travel insurance covering the booked travel dates, or, in the absence of such an insurance policy and having no intention of obtaining one, to declare the AGENCY exempt of all responsibility for any kind of accident, death, injury or physical problem that occurs during the contracted trip, as well as any financial responsibility due to trip cancellation or curtailment, loss of luggage, trip delays, medical coverage, emergency evacuation or repatriation or any other inconveniences outside of the control of the AGENCY.

Mantener un seguro de viaje válido y completo que cubra las fechas de viaje reservadas o, en ausencia de dicha póliza de seguro y no tener intención de obtenerla, declarar a la AGENCIA exenta de toda responsabilidad por cualquier tipo de accidente, muerte, lesión o problema físico que ocurra durante el viaje contratado, así como cualquier responsabilidad financiera debido a cancelación o interrupción del viaje, pérdida de equipaje, retrasos en el viaje, cobertura médica, evacuación o repatriación de emergencia o cualquier otro inconveniente fuera del control de la AGENCIA.

3.7 To have all immigration documents, valid passport and vaccinations necessary to travel according to Ecuadorian law.
Contar con todos los documentos migratorios, pasaporte vigente y vacunas necesarias para viajar según la ley ecuatoriana.

3.8 To communicate to the AGENCY in advance, details of any kind of special food requirement, disability or sickness that exists at time of travel.

Comunicar a la AGENCIA con antelación, detalles de cualquier tipo de requerimiento especial de alimentación, discapacidad o enfermedad que exista al momento del viaje.

3.9 To be in sufficient good health and fitness to take part in the trip that is reserved. In the case of visiting high altitude destinations, it is the responsibility of the TOURIST to be sufficiently acclimatized to perform the visit safely.
Estar en buen estado de salud y condición física para participar en el viaje reservado. En caso de visitar destinos de gran altitud, es responsabilidad del TURISTA estar suficientemente aclimatado para realizar la visita con seguridad.

3.10 To provide all passenger data and passport copies as requested by the AGENCY.

Proporcionar todos los datos de los pasajeros y copias del pasaporte según lo solicite la AGENCIA.

FOURTH CLAUSE – TOUR PAYMENT / CLAUSULA CUARTA – PAGO DEL TOUR

4.1 A 50% deposit payment is required to the AGENCY in order to confirm any service. In cases where a reservation is made less than 30 days prior to trip departure then full tour payment is required.

Se requiere un depósito del 50% a la AGENCIA para confirmar cualquier servicio. Si la reserva se realiza con menos de 30 días de antelación a la salida del viaje, se requiere el pago completo del tour.

4.2 The full balance of the tour fare must be paid no later than 30 days prior to the tour departure date, otherwise the AGENCY may treat the booking as being cancelled by the TOURIST and apply cancellation charges as set out in clause six. Travel Voucher can only be issued to the TOURIST once full payment has been received by the AGENCY.

El importe total del viaje deberá abonarse a más tardar 20 días antes de la fecha de salida. De lo contrario, la AGENCIA podrá considerar la reserva cancelada por el TURISTA y aplicar los cargos de cancelación establecidos en la cláusula seis. El voucher de servicio solo se emitirán al TURISTA una vez que la AGENCIA haya recibido el pago completo.

4.3 The AGENCY will only request and accept bank payments that are made into our official corporate accounts under the name of GALAPAGOS BLUE SKY GBSJK S.A OR KENIA ANDREA CORREA ULLOA OR VIA WETRAVEL.
La AGENCIA únicamente solicitará y aceptará pagos bancarios que se realicen en nuestras cuentas corporativas oficiales a nombre de GALAPAGOS BLUE SKY GBSJK S.A O KENIA ANDREA CORREA ULLOA O VÍA WETRAVEL.

4.4 The AGENCY will never request, accept or recognise any payments that have been made into any other third-party bank account or platform. 
LA AGENCIA nunca solicitará, aceptará ni reconocerá ningún pago que se haya realizado en cualquier otra cuenta bancaria o plataforma de terceros.

FIFTH CLAUSE – CONFIRMATION OF TOUR / CLAUSULA QUINTA – CONFIRMACION DEL TOUR

5.1 The TOURIST’s reservation is legally confirmed by the AGENCY only after receipt of either the 50% deposit payment, or the full tour payment from the TOURIST as per Clause 4.

La reserva del TURISTA queda legalmente confirmada por la AGENCIA sólo después de recibir el pago del depósito del 50% o el pago total del tour por parte del TURISTA según la Cláusula 4.

5.2 The AGENCY agrees to make all necessary payments to ensure the correct reservation and operation of the tour.

La AGENCIA se compromete a realizar todos los pagos necesarios para asegurar la correcta reserva y funcionamiento del tour.

SIXTH CLAUSE – TOUR CANCELLATION BY THE TOURIST / CLAUSULA SEXTA – CANCELACION DEL TOUR POR PARTE DEL TURISTA

6.1 Cancellations by the client must be made in writing and will only be effective once the agency is in receipt of the written document via email to info@galapagosbluesky.com . The following cancellation clauses apply when the TOURIST chooses to cancel his/her tour for ANY reason, including those outside of the TOURIST’s control, such as but not limited to illness or death of the TOURIST or a family member, flight cancellation, missed flights, natural disasters, adverse weather conditions, terrorism or adverse government travel recommendations. 

Las cancelaciones por parte del cliente deben realizarse por escrito y envido al email info@galapagosbluesky.com y solo serán efectivas una vez que la agencia reciba el documento escrito. Las siguientes cláusulas de cancelación se aplican cuando el TURISTA decide cancelar su tour por cualquier motivo, incluyendo aquellos ajenos a su voluntad, como, entre otros, enfermedad o fallecimiento del TURISTA o de un familiar, cancelación de vuelo, pérdida de vuelos, desastres naturales, condiciones climáticas adversas, terrorismo o recomendaciones gubernamentales de viaje adversas.

6.2 If the TOURIST cancellation is received 60 days or more in advance of the trip start date, a penalty fee of 0% of the total tour value will be charged per person.

Si la cancelación del TURISTA se recibe con 60 días o más de anticipación a la fecha de inicio del viaje, se cobrará una penalidad del 0% del valor total del tour por persona.

6.3 If the TOURIST cancellation is received between 59 and 20 days before the start of the trip, a penalty fee of 20% of the total tour value will be charged per person.
Si la cancelación del TURISTA se recibe entre 59 y 20 días antes del inicio del viaje, se cobrará una penalidad del 20% del valor total del tour por persona.

6.4 If the TOURIST cancellation is received between 19 and 10 days before the start of the trip a penalty fee of 50% of the total tour value will be charged per person.

Si la cancelación del TURISTA se recibe entre 19 y 10 días antes del inicio del viaje se cobrará una penalidad del 50% del valor total del tour por persona.

6.5 If the TOURIST cancellation is received between 9 days or less, the TOURIST will forfeit 100% of the total tour value. If the TOURIST requests it, the AGENCY may offer the canceled spaces to other clients or travel agencies. If these spaces are purchased, the AGENCY will offer a refund based on the rate sold to the third party (the TOURIST will be notified at all time the price that the third person will pay for the spaces, if TOURIST accepts we will help in closing the sale). Unfortunately, if the space cannot be sold, no compensation will be available.

Si la cancelación del TURISTA se recibe con 9 días o menos de antelación, el TURISTA perderá el 100% del valor total del tour. A su vez si asi el TURISTA lo requiere la AGENCIA podrá ofrecer los espacios cancelados a otros clientes o agencias de viajes y si en caso llegan a comprar los espacios cancelados. Solo asi la AGENCIA ofrecerá un reembolso por su cancelación en base a la tarifa vendida a los terceros (el TURISTA estará informado en todo momento del precio que pagará el tercero por los espacios; si el TURISTA acepta, le ayudaremos a concretar la venta) Si en caso no se logra vender su espacio lastimosamente no se podrá recibir una compensación.

6.6 For CRUISES, cancellation policies are different; please consult with an agent.

Para CRUCEROS, las políticas de cancelación son diferentes, por favor consultar con un agente.

6.7 TRIP CANCELLATION INSURANCE: The AGENCY strongly recommends the purchase of Cancel For Any Reason (CFAR) trip cancellation insurance covering THE TOURIST for fees and losses in case of tour cancellation. In the absence of such an insurance policy and having no intention of obtaining one, the TOURIST declares the AGENCY exempt from responsibility for all cancellation losses incurred by the TOURIST and agrees not to initiate any credit card chargeback process against the AGENCY.

SEGURO DE CANCELACIÓN DE VIAJE: La AGENCIA recomienda encarecidamente la contratación de un seguro de cancelación de viaje con cobertura de cancelación por cualquier motivo (CFAR), que cubra al TURISTA los gastos y pérdidas en caso de cancelación del tour. En ausencia de dicho seguro y sin intención de obtenerlo, el TURISTA declara a la AGENCIA exenta de toda responsabilidad por las pérdidas ocasionadas por la cancelación y se compromete a no iniciar ningún proceso de devolución de cargos a tarjetas de crédito contra la AGENCIA.

6.8 TRIP POSTPONEMENT: In the case of a request for postponement of the tour by the TOURIST, the above cancellation fees will still apply, unless the AGENCY agrees to forfeit the fee.

APLAZAMIENTO DEL VIAJE: En el caso de una solicitud de aplazamiento del tour por parte del TURISTA, se seguirán aplicando los cargos de cancelación anteriores, a menos que la AGENCIA acepte perder el cargo.

SEVENTH CLAUSE – FORCE MAJEURE / CLAUSULA SEPTIMA – FUERZA MAYOR

7.1 The OPERATOR reserves the right to cancel or modify the tour due to force majeure, acts of providence, extraordinary or unforeseen events, or circumstances beyond the control of the AGENCY that prevent us from providing the contracted service. Such events include but are not limited to: epidemic, pandemic, war or revolution, strikes / riots / civil unrest, extreme weather, floods, tsunami, earthquake, volcanic eruption, fire, drought, contamination, legislation or decision by government or state powers that prohibit or impact the performing of a tour.

El OPERADOR se reserva el derecho de cancelar o modificar el tour por causas de fuerza mayor, casos fortuitos, eventos extraordinarios o imprevistos, o circunstancias ajenas a la AGENCIA que nos impidan prestar el servicio contratado. Dichos eventos incluyen, entre otros: epidemias, pandemias, guerras o revoluciones, huelgas, disturbios civiles, condiciones meteorológicas extremas, inundaciones, tsunamis, terremotos, erupciones volcánicas, incendios, sequías, contaminación, legislación o decisión gubernamental o estatal que prohíba o afecte la realización de un tour.

7.2 In the event of such cases as described in clause 7.1, the AGENCY will offer either an alternative tour with comparable service, or a change of date for the originally booked tour, but is under no obligation to provide a refund to the client.

En caso de que se produzcan situaciones como las descritas en la cláusula 7.1, la AGENCIA ofrecerá un tour alternativo con un servicio comparable o un cambio de fecha para el tour originalmente reservado, pero no está obligada a proporcionar un reembolso al cliente.

EIGHTH CLAUSE – TOUR ALTERATION / CLAUSULA OCTAVA – ALTERACION DEL TOUR

8.1 The OPERATOR and the AGENCY reserve the right to vary the time of day of its tour departures, or alter tour programs and itineraries  for reasons including but not limited to: changing weather and the forces of nature, wildlife behavioural habits, vehicle or yacht safety, passengers or crew safety, the discretion of your guide, driver or public authorities. This will be notificated before the departure. Under the aforementioned conditions, the AGENCY is under no obligation to provide a substitution, replacement of services or refunds to the TOURIST.

El OPERADOR y la AGENCIA se reservan el derecho de modificar la hora de salida de sus tours o los programas e itinerarios  por motivos como, entre otros: cambios en el clima y las fuerzas de la naturaleza, comportamiento de la fauna, seguridad del vehículo o yate, seguridad de los pasajeros o la tripulación, y la discreción del guía, conductor o autoridades públicas. El mismo sera informado antes de la salida. Bajo las condiciones mencionadas, la AGENCIA no está obligada a proporcionar una sustitución, reemplazo de servicios ni reembolsos al TURISTA.

NINTH CLAUSE – TRANSPORTATION TO THE TOUR ASSEMBLY POINT / CLAUSULA NOVENA – TRANSPORTE AL PUNTO DE REUNION DEL TOUR

9.1 The TOURIST is responsible for making his or her own arrangements to arrive at the tour assembly point. There are no arrangements in existence should the TOURIST be delayed at the outward or homebound points of departure.
El TURISTA es responsable de organizar su llegada al punto de encuentro. No se prevén arreglos en caso de retraso en el punto de partida.

TENTH CLAUSE – COMPLAINTS PROCEDURE AND REFUNDS / CLAUSULA DECIMA – PROCEDIMIENTO DE QUEJAS Y REMBOLSOS

10.1 If the TOURIST experiences a problem during the tour, then they should inform the AGENCY immediately and in writing – only complaints that are brought to the attention of the AGENCY within a maximum period of 1 week after finishing the tour will be handled. The AGENCY will endeavour to formally respond fully to all complaints within 1 week of receiving notification, although delays in receiving adequate information from operators may impact AGENCY response time.
Si el TURISTA experimenta algún problema durante el tour, deberá informar a la AGENCIA inmediatamente y por escrito. Solo se atenderán las quejas presentadas en un plazo máximo de una semana tras la finalización del tour. La AGENCIA se esforzará por responder formalmente a todas las quejas en el plazo de una semana a partir de la recepción de la notificación, aunque la demora en recibir información adecuada de los operadores podría afectar el tiempo de respuesta de la AGENCIA.

10.2 The AGENCY will not be responsible for giving refunds due to complaints in any of the following situations:

• Substitution of facilities or personnel.
• Late arrival or no-show of THE TOURIST.
• Decision of THE TOURIST to leave the tour early or miss any activities / meals / accommodations during the tour.
• Issues caused by the TOURIST travelling without necessary documentation including passport, visas, immigration papers.
• Price differences paid by different passengers aboard the same tour due special last-minute rates.
• Decisions by any third party that affect the normal running of the tour including by THE OPERATOR, Ecuadorian government or National Park authority.
• Force Majeure events or any other extraordinary circumstances as described in Clause Seven.
• Alteration of trip itinerary or program by the OPERATOR either before or after departure, as described in Clause Eight.
• Decision of the TOURIST to travel without valid travel insurance, despite the recommendations of the AGENCY in clauses 3.6 & 6.7.
• Any other circumstances arising beyond THE AGENCY’s control.

La AGENCIA no será responsable de reembolsos por quejas en ninguna de las siguientes situaciones:

• Sustitución de instalaciones o personal.
• Llegada tardía o no presentación del TURISTA.
• Decisión del TURISTA de abandonar el tour anticipadamente o perderse alguna actividad, comida o alojamiento durante el tour.
• Problemas causados por el TURISTA viajando sin la documentación necesaria, como pasaporte, visas, documentos de inmigración.
• Diferencias de precio pagadas por diferentes pasajeros a bordo del mismo tour, por tarifas con descuentos especiales por confirmar a última hora.
• Decisiones de terceros que afecten el normal desarrollo del tour, incluyendo las del OPERADOR, el gobierno ecuatoriano o la autoridad del Parque Nacional.
• Casos de fuerza mayor o cualquier otra circunstancia extraordinaria, como se describe en la Cláusula Séptima.
• Alteración del itinerario o programa del viaje por parte del OPERADOR, ya sea antes o después de la salida, como se describe en la Cláusula Octava.
• Decisión del TURISTA de viajar sin un seguro de viaje válido, a pesar de las recomendaciones de la AGENCIA en las cláusulas 3.6 y 6.7.
• Cualquier otra circunstancia ajena a la voluntad de LA AGENCIA.

ELEVENTH CLAUSE – ACCEPTANCE AND DURATION OF THE CONTRACT / CLAUSULA DECIMA PRIMERA – ACEPTACION Y DURACION DEL CONTRATO

11.1 The contract exists from the moment the AGENCY receives either deposit or full payment from the TOURIST, up until completion of the tour that has been contracted. Payment to the AGENCY by the TOURIST of either deposit or full payment means that the TOURIST is in agreement with all clauses in this contract.

El contrato se celebra desde el momento en que la AGENCIA recibe el depósito o el pago total del TURISTA hasta la finalización del tour contratado. El pago del depósito o del pago total a la AGENCIA por parte del TURISTA implica su conformidad con todas las cláusulas de este contrato.

11.2 Anything not stipulated directly under this contract will be governed under current Ecuadorian Tourism Law at the date of the present contract.

Todo lo no estipulado directamente en este contrato se regirá por la Ley de Turismo del Ecuador vigente a la fecha del presente contrato.

TWELTH CLAUSE- JURISDICTION & PROCESS / CLAUSULA DECIMA SEGUNDA – JURIDISCCION Y PROCESO

12.1 In case of controversy the parties will submit to the civil judges of the city of Puerto Ayora and the Ecuadorian Civil Code Procedure.
En caso de controversia las partes se someterán a los jueces civiles de la ciudad de Puerto Ayora y al Código Procesal Civil Ecuatoriano.
